    No logro hallar cómo traduce 'company operating/operation agreement' en español. Por la definición veo que no es un contrato en sí: "A Company Agreement is an internal document for your LLC that provides the framework for how a limited liability company operates. According to the TBOC, “It governs the relations among members, managers, and officers of the company..."
    Any help will be appreciated!

    An “LLC Agreement” or “LLC Operating Agreement”, depending on the State, is exactly that, an agreement (yes, a contract) among the members (shareholders in some limited formats) to govern the operation of the company and the relationship among the members, all within the legal framework authorized by Statute. (there are more than 50 separate non-uniform LLC laws in the US and Territories.)

    Given the unique hybrid nature of an LLC, it is a combination, part corporate Articles and part corporate Bylaws, into one private, unregistered document. The other official, registered, document known as Articles of Organization, is purely an identification-only public filing. It is an optional, private document. In absence thereof, the relevant Statute fills the void.

    Thus, it contains elements normally found in a standard registered “Estatuto Social” and elements of more private arrangements normally found in a “Pacto Social or Parasocial” (Spain), but exclusively as a private, optional document.

    After all that, I would translate it as “ Pacto y Estatuto Social (Privado)” , or more literally “Acuerdo Societario”, since there is no exact Spanish equivalent.
