¿Cómo se traduce la expresión "con voz y voto"?

Quiero autorizar a una persona a actuar, en representación de otra, con voz y voto en una Asamblea General de Accionistas.

    • "Voice and vote"?..., unless a native speaker can come up with a better expression.

    A veces voz y voto se excluyen, es decir, no simpre tienen que ir unidas. Aquí va un ejemplo:

    Se aplica el mismo concepto de investigador principal, con invitación a asistir con voz pero sin voto a la junta de centro

    ¿Sería algo así como: "They are allowed to assist with opinion but not voting rights"?

    Con voz y voto, a full member of the board, with the right to speak in debate and to vote.

    Con voz pero sin voto, member ex officio of the board, with the right to speak in debate but without a vote.
