    Hola amigos:

¿Cuál es la expresión más común en EE. UU. para decir "se debe constituir una sociedad"

Debo traducir que tal representante debe participar de la constitución de la sociedad.

He shall participate in the constitution???

To incorporate: As soon as my company starts making more money, I'll incorporate.
Incorporating. XYZ company is incorporating to XYZ, Inc.
Set up a corporation: Can you help me set up a corporation?

All of these would be translated as " constituir una sociedad" Robjh22 is right also ESTABLISH is a good option for translations. The ones I gave you are common everyday expressions that may or may not fit into your translation.
