    Anybody knows what a "negative pledge" refers to in English and how to translate it into Spanish?

    negative pledge clause (AKA: negative covenant)

    A covenant in a bond agreement whereby the borrower agrees not to pledge any assets if such pledging would result in less security for the agreement's bondholders. also called covenant of equal coverage.

    Es un término financiero que creo que es algo de que no venderás tus bienes en el caso de que no sea favorecible. Pero mejor preguntar a un experto en temas de finanzas.

    And, jumbouio, I think pledge can also be translated as "compromiso/convenio", so, following Paco's line, it could be like: "convenio de restricción".

    Hola:

    En términos legales, yo lo conozco como una obligación de no hacer. De no hacer algo como: gravar o enajenar tus activos, repartir dividendos mientras tengas deudas, contraer deudas más de allá de ciertos valores para las razones financieras, etc. Según mis amigos abogados, hay obligaciones de hacer, de no hacer y de permitir.

    Hey!! Thank you all for your contributions, especially DCPaco. Within my context (financial agreement), pledge means prenda (garantía) so I may have to keep that concept. Will try "declaración prohibitiva" anyway!!
