creo que "proxy statement" seria una frase de autorizacion para que alguien haga alguna cosa en nombre de otra persona. a ver que dicen los nativos.

Hasta donde yo sé no existe una traducción generalizada en español para "proxy statement", sin embargo aquí encontrarás una que espero te sirva.
También mirá esto:
"...Lo que recibe el accionista por correo incluye un proxy statement. Es un documento legalista que presenta información de los cambios planeados en la administración de la compañía que requieren la aprobación de los accionistas.."

Por todo lo que he leído (justo tengo una traducción al respecto entre manos) me parece que una traducción literal puede ser una opción: "declaración de representante(s)"; se nombra, con ello, al representante que podrá decidir en nombre del otorgante. A ver qué dice el público.
Aquí una definición:
